Use of Our Creative Tools

Addendum to Terms of Services:

SECTION 21 — CREATIVE TOOLS, USER-GENERATED CONTENT, AND INTELLECTUAL PROPERTY

Effective Date of This Addendum: May 25, 2026

This Section governs your use of CultureSchool's creative and generative platform tools, including CoCoCreate, CoCo Palette Collector, CoCo Flourish, the Palette Library, the Pattern Library, and any related design, color extraction, or template tools (collectively, the "Creative Tools"). By accessing or using any Creative Tool, you agree to the terms of this Section in addition to all other Terms of Service.

21.1 — YOUR CONTENT: WHAT YOU OWN

You retain ownership of any original content you create, upload, or submit through the Creative Tools, including photographs, images, artwork, and written text ("Your Content"). Nothing in these Terms transfers ownership of Your Content to CultureSchool.

21.2 — LICENSE GRANT FROM YOU TO CULTURESCHOOL

By uploading, submitting, or making Your Content available through any Creative Tool, you grant CultureSchool a non-exclusive, worldwide, royalty-free, sublicensable, and perpetual license to use, store, display, reproduce, modify, distribute, and create derivative works from Your Content solely for the following purposes:

(a) Operating, maintaining, and improving the Creative Tools and the Platform;

(b) Displaying Your Content within the Platform as part of the Services you have requested;

(c) Extracting color palettes, patterns, and design data from Your Content using CultureSchool's proprietary color intelligence system, and incorporating those outputs into the CultureSchool Palette Library or Pattern Library as described in Section 21.3 below;

(d) Promoting, marketing, and advertising CultureSchool's Services, with reasonable attribution to you as the source where practicable.

This license does not permit CultureSchool to sell, license, or commercially transfer Your original Content (such as your photographs or original artwork) to third parties without your separate written permission. Color and pattern outputs derived from Your Content through our extraction tools are governed by Section 21.3.

21.3 — COCO ART, PALETTE SUBMISSIONS, AND THE LIBRARY SYSTEM

CultureSchool operates a curated Palette Library and Pattern Library (together, the "Libraries") that are used to power the Platform's color intelligence system and may be made available for commercial licensing to third parties.

(a) Personal Palettes. When you use the Creative Tools to extract a color palette from Your Content, that palette is created as a Personal Palette associated with your account. Personal Palettes are private by default. You own the creative expression in any name or story you assign to a Personal Palette. CultureSchool has the license rights described in Section 21.2 to store and display your Personal Palette within the Platform.

(b) CultureSchool Library Palettes. CultureSchool may, at its sole discretion, invite you to have a Personal Palette elevated to a CultureSchool Library Palette. Library Palettes are reviewed, editorially curated, assigned a CS-P-XXX code, and may be included in CultureSchool's licensable color intelligence system. If your palette is elevated to a Library Palette, CultureSchool will provide you with reasonable attribution. By accepting an invitation to elevate a palette, you grant CultureSchool a broader license to use, sublicense, and commercially exploit the named palette and associated color data as part of the Library, including in licensing agreements with third parties.

(c) CoCo Art Submissions. When you submit original artwork, patterns, or illustrations ("CoCo Art") to the Platform for use in templates, patterns, or product designs, you grant CultureSchool the license described in Section 21.2. CultureSchool will not sell or commercially license your CoCo Art as a standalone product to third parties without your written permission. CoCo Art may be used within the Platform to generate pattern outputs that, once generated, may be included in the Pattern Library under Section 21.3(b) terms.

(d) Cultural Provenance. You represent and warrant that any palette name, pattern name, cultural story, or origin narrative you submit accurately reflects your own knowledge or experience and does not misrepresent the cultural tradition it references. CultureSchool reserves the right to review, edit, or remove any submission that misrepresents cultural origin or infringes on the rights of any cultural community.

21.4 — CONTENT YOU ARE RESPONSIBLE FOR

You represent and warrant that:

(a) You own or have all necessary rights, licenses, and permissions to upload and use any content you submit through the Creative Tools;

(b) Your Content does not infringe the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party;

(c) Any photographs, images, or artworks you upload are either your own original work or you have explicit permission from the rights holder to use them within the Platform;

(d) You will not upload content that is unlawful, defamatory, or that violates any applicable law or the rights of others.

You are solely responsible for any claims arising from Your Content. CultureSchool reserves the right to remove any content that violates these terms without notice.

21.5 — CULTURESCHOOL'S PROPRIETARY TECHNOLOGY AND IP

All rights, title, and interest in and to the CultureSchool platform, including but not limited to CoCoCreate, the Palette Library, the Pattern Library, the CS-P-XXX and CS-X-XXX coding system, the color intelligence and extraction system, the loom autofill system, template workflows, design logic, and all underlying software, algorithms, and processes (collectively, the "Platform IP") are and remain the exclusive property of CultureSchool LLC and its licensors.

The Platform IP is protected by United States and international intellectual property laws, including copyright, trademark, trade secret, and patent law. CultureSchool has filed or intends to file patent applications covering certain aspects of its color intelligence and generative design systems, and such systems are protected as trade secrets pending patent protection.

You may not:

(a) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying logic of any Creative Tool or any component of the Platform IP;

(b) Copy, reproduce, or replicate any Creative Tool, the Palette Library structure, the Pattern Library structure, or the CS coding system for use outside the Platform without express written permission from CultureSchool;

(c) Use any Creative Tool or any outputs generated by the Platform to train, develop, fine-tune, or improve any artificial intelligence model, machine learning system, or competing color intelligence system without express written permission from CultureSchool;

(d) Scrape, harvest, or systematically extract data from the Platform, the Libraries, or any outputs generated by the Creative Tools for any commercial purpose;

(e) Use the Platform to develop a competing product or service that replicates or competes with the functionality of the Creative Tools or the Libraries.

Any unauthorized use of the Platform IP constitutes a material breach of these Terms and may result in immediate termination of your access, as well as civil and criminal liability.

21.6 — OUTPUTS FROM CREATIVE TOOLS

Color palettes, patterns, and design outputs generated by the Creative Tools using your inputs ("Generated Outputs") may incorporate CultureSchool's proprietary color intelligence layer, including named palette codes and cultural provenance data. You retain the right to use Generated Outputs for your personal and commercial purposes. However, Generated Outputs that incorporate CultureSchool's proprietary coding system (CS-P-XXX, CS-X-XXX) or cultural provenance data remain subject to CultureSchool's intellectual property rights in that system and data layer.

21.7 — PLATFORM ELIGIBILITY AND MODERATION

CultureSchool controls which palettes, patterns, and creative submissions are made available for public use on the Platform. Submission of content does not guarantee inclusion in the public-facing Libraries or Creative Tool interfaces. CultureSchool reserves the right, in its sole discretion, to approve, reject, modify, or remove any submission from the Platform at any time without notice or liability.

21.8 — INDEMNIFICATION FOR CREATIVE TOOL USE

You agree to indemnify, defend, and hold harmless CultureSchool LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your use of the Creative Tools; (c) your breach of any representation or warranty in this Section; or (d) any claim that Your Content or your use of the Platform infringes the rights of any third party.
